Terms Of Use

Welcome to the home site of Willi-Food Investments Ltd. (hereinafter: “the Site” and “Willi-Food”, respectively). The Site provides information and services related to the company’s activities and products. By accessing and using this Site, you agree to be bound by the following Terms of Use, as well as any additional terms presented elsewhere on the Site and on other pages on the Site. It is clarified that the terms of use may change from time to time. All references in these terms using masculine language also apply to the feminine and vice versa, and all references in singular form also apply to plural and vice versa. The section headings in these terms are for convenience only.

1. Services on the Site

1.1 The Site provides information and content related to Willi-Food’s activities and products, primarily intended for consumer audiences. 1.2 All visitors are invited to use the Site, subject to agreeing to and accepting these terms. 1.3 Notwithstanding the above, Willi-Food may prevent or restrict the use of the Site by any visitor, at its discretion and for any reason, without having to justify this. 1.4 The Site must not be used for commercial purposes. 1.5 The rights to the Site, including all content and services within it, including copyright and intellectual property, belong to Willi-Food or it has rights to use them. You may not use any of the aforementioned content or services, including any trademarks displayed on the Site, for any purpose without the express prior written consent of Willi-Food, including trademarks displayed on the Site, for any purpose whatsoever, without the express consent of Willi-Food. 1.6 You may use the Site for non-commercial purposes. You may not copy and use, or allow others to use in any other way, content from the Site, including on other internet sites, in electronic publications, print publications, etc., for any other purpose. 1.7 Content from the Site may not be displayed in any way – including through any software, device, accessory or communication protocol – that alters their design on the Site or omits any content from them, particularly advertisements and commercial content.

2. Liability

2.1 Use of the Site is done at the sole and full responsibility of the visitor. 2.2 The content on the Site is provided on an “as-is” basis and may not be tailored to the needs of every visitor and visitors will have no claim, lawsuit or demand against Willi-Food regarding the non-adaptation of content to their needs. 2.3 Willi-Food does not guarantee that the details regarding its products as published on the Site will be complete, correct, legal, or accurate or will meet the expectations and requirements of visitors. Willi-Food will not bear any responsibility for any result that may arise from them, from using them, or from relying on them. 2.4 The content on the Site is provided for use as-is (AS IS). The user of the Site will have no claim, lawsuit or demand against Willi-Food regarding characteristics of the content, their capabilities, limitations and their adaptation to their needs. 2.5 Willi-Food does not guarantee that the Site services will not be disrupted, will be provided regularly or without interruptions, will operate securely and without errors, and will be immune from unauthorized access or from damages, breakdowns, malfunctions or failures in hardware, software or communication systems at Willi-Food. 2.6 The visitor to the Site declares that they know that the information displayed on the Site regarding Willi-Food’s products may contain errors or omissions and that the Site will have no responsibility or liability whatsoever for the use made by the visitor of the Site and for any results and damages that may be caused as a result of using them directly or indirectly. The use made of information produced by the visitor is at the visitor’s sole responsibility. 2.7 Product images on the Site are for illustration purposes only, and there may be differences between the image and the product sold, both due to limitations of electronic media (color transmission, shades, etc.), or changes made to products from time to time. 2.8 The information about products and foods on the Site relies on data that third parties publish on food packaging only and on data sent to Willi-Food by the manufacturers themselves. The Site does not add or modify the data, but displays them as published by the manufacturer (while adapting to the design, structure and system of the Site), including additional information, product ingredients, allergen information, nutritional value, kosher certification, food coloring, preservatives, etc. Product details and data are sometimes changed by manufacturers, and therefore this should be taken into account and the data on the food packaging itself should be relied upon. The information appearing on the Site about product ingredients does not replace the information appearing on the product itself. In case of doubt, rely only on the information on the product itself. Willi-Food shall not be liable for any damage caused by the use of the data, as they are not checked by Willi-Food (referring to laboratory tests) and is not responsible for the accuracy of the data. Users of the information will have no claim, demand or lawsuit as a result of using the information displayed. Also, there may be errors and deviations in the data displayed on the Site and the user will have no demand or claim because of this. 2.9 Any reliance by a user and/or any third party on any images, content, information, advertisements, products, services, opinions and positions, displayed or published in the product catalog and/or on sites to which there is a possibility of referral, including information, content, images, opinions and positions displayed or published there, is done according to the user’s judgment and at their sole responsibility. 2.10 In most cases, Willi-Food and/or anyone acting on its behalf do not manufacture the products appearing on the Site, and do not bear responsibility for the quality of the products, their properties, the names of the manufacturers and/or any representation made on the Site regarding the aforementioned details. The products on the Site are displayed in good faith and are described by Willi-Food in an objective manner, while relying on details provided by the relevant manufacturer. Their display should not be seen as a recommendation from the Site regarding the nature of the products, their properties, quality, manufacturer names, etc. 2.11 To the fullest extent permitted by law, Willi-Food and/or its affiliates shall not be liable for direct, indirect, punitive, incidental, special or consequential damages, and/or any other damage of any type and kind, including, and without prejudice to the generality of the above, damages for loss of use, loss of data or loss of profits, arising from or related in any way to the use or performance of the Site, for delay in use or inability to use the Site, in the supply or non-supply of products or services, or in any information, software, product, service and related graphics obtained through the Site, and/or arising in any other way from the use of the Site, whether based on contract or in tort, in absolute liability, and/or any other cause, even if Willi-Food and/or anyone acting on its behalf was informed of the possibility of such damages.

3. Changes to the Site

3.1 Willi-Food may update and/or correct and/or change the terms of use from time to time without giving notice and/or warning. The updated terms of use will be binding from the moment they are uploaded. You are invited to check the revised terms of use from time to time. Also, Willi-Food may at any time transfer ownership of the Site and/or the right to operate it in whole and/or in part to any other entity. 3.2 Without derogating from the above, Willi-Food has the right to update the list of products with all their details from time to time, to remove products that are out of stock and more. 3.3 Visitors will have no claim, lawsuit or demand against Willi-Food for making such changes or malfunctions that occur during their implementation. 3.4 Without derogating from the above, Willi-Food may at any time discontinue the operation of the Site, in whole or in part.

4. Recipes and Additional Information

4.1 The Site may occasionally include recipes, information on food and nutrition, etc., which may include opinions of experts in these fields as well as various recommendations from competent individuals in these fields. It is clarified and emphasized that the information and advice given on the Site are only general information. This information is not a substitute for examination and advice from professionals. This information should not be seen as a diagnosis or professional opinion (medical, nutritional or otherwise) or any recommendation. In any case where there is concern about a medical or nutritional problem, consult a doctor or dietitian. 4.2 The Site is not responsible for the accuracy of recipes written on the Site and it is recommended to consult with a qualified authority on any health/nutritional issue. The Site will not be responsible for any damage caused as a result of using the information and content displayed on the Site, and all responsibility rests with the suppliers and providers of content and information that have been uploaded by them to the Site.

5. Financial Reports

5.1 Willi-Food is a public company whose shares are traded on the Tel Aviv Stock Exchange (hereinafter: “the Exchange”). 5.2 Willi-Food publishes its periodic reports in accordance with legal requirements. 5.3 These reports include, among other things, the description of the corporation’s business, the Board of Directors’ report on the state of the corporation’s affairs, and the financial statements for each period. 5.4 Any visitor to the Site can view the financial statements by clicking on the financial statements link on the Site which directs them directly to the Exchange’s website. 5.5 It is hereby clarified that the content of the financial statements is not comprehensive or exhaustive and does not purport to replace the official reports and disclosures that Willi-Food sends to the Exchange in accordance with all laws. In addition, the information in the financial statements is updated at the time of its initial publication and it should be taken into account that after the initial publication, changes may occur in them, which may not yet be reflected on the Site. The information in the financial statements therefore does not constitute part of the official publications binding Willi-Food and does not constitute a substitute for them. 5.6 Willi-Food makes a continuous effort to ensure that the information on the Site is verified, updated and free of errors. However, malfunctions, disruptions, typographical errors and other deficiencies may occasionally occur in it, including also on the Exchange’s website which Willi-Food has no control over. In these cases, only what is stated in the official publications of Willi-Food and in its documents will be determinative. 5.7 The information contained in the financial statements is offered on the Site as it is (As Is) and it is not intended to suit the needs, capabilities and purposes of each and every person. 5.8 Nothing contained in the financial statements or elsewhere on the Site shall be construed as an offer, solicitation, or recommendation to engage in any transaction or investment to carry out transactions, investments or any actions by Willi-Food and nothing in them is intended to substitute professional and personal advice. Willi-Food is not responsible in any way for any damage or loss that may be caused as a result of sole reliance on the information presented in the financial statements through this Site.

6. Content Uploaded by Visitors to the Site

6.1 If the Site allows content to be uploaded by Site users, then the submission of such content constitutes confirmation from the Site user that they own the rights to them and are authorized to submit them for publication and that they bear full and exclusive responsibility for any linking, display or publication of such content. 6.2 Do not submit to the Site content that harms a person or group, content that incites against a person or group, content that calls for or encourages violence, content that encourages racism or improper discrimination, pornographic content or content intended for adults only, or content that violates the law, whose publication violates the law or which encourages activity that violates the law. Also, do not create a link to the Site from any site containing pornographic content, content that encourages racism or improper discrimination, or content that violates the law, whose publication violates the law or which encourages activity that violates the law. 6.3 The visitor undertakes, by using the Site, to indemnify Willi-Food and anyone acting on its behalf for any damage, loss, loss of profit, payment or expense caused to them due to violation of these terms of use or due to any claim, lawsuit or demand raised against Willi-Food and anyone acting on its behalf by a third party as a result of content submitted by that visitor for publication on the Site or any use made of its services. 6.4 It is clarified that content submitted for publication on the Site by visitors does not express the opinion or position of Willi-Food and its publication is no guarantee of its validity, reliability, accuracy or legality. Willi-Food will not be liable for any damage caused as a result of infringement of rights of the rights holders in the content. Each visitor will bear full and exclusive responsibility for any linking, display or publication of content, made by them and undertakes to indemnify Willi-Food for any damage that may be caused as a result.

7. Links on the Site

7.1 The Site may contain links to various sites on the Internet. It is clarified and emphasized that the fact that the Site links to these sites does not indicate Willi-Food’s agreement to the content of those sites and does not constitute a guarantee of their reliability, timeliness, legality, the privacy practices of those sites and any other aspect involved in their operation. Willi-Food is not responsible for the content to which the links point and is not responsible for any result that may be caused by using them or relying on them. 7.2 Willi-Food does not guarantee that the links on the Site will be working properly at all times and will direct the visitor to an active internet site. Willi-Food may remove links previously included on the Site, or refrain from adding new links at its absolute discretion. 7.3 The Site uses “cookies” for its regular and proper operation, including to collect statistical data about the use of the Site, to verify details, to adapt the Site to the personal preferences of each visitor and for security and privacy information purposes. It is clarified that each visitor has the ability to delete and/or completely prevent the creation of “COOKIES” files on their computer by changing the relevant settings, but this will require them in the future to re-update their username and password, in cases where the registration of these details is required by the nature of the service that the visitor wishes to receive on the Site.

8. Intellectual Property

All copyrights and intellectual property on the Site, in the services offered on it and in any content included in it, belong to Willi-Food or to others who have given Willi-Food permission to use them. No use may be made of the said content without the prior, express and written consent of Willi-Food.

9. Governing Law

9.1 These terms are subject to Israeli law only. 9.2 Exclusive jurisdiction to decide on any dispute related to these rules is granted to the competent courts in the Tel Aviv and Central districts in Israel.
